Reglementarea juridico-practică a contractului de franchising

Abstract

Scopul lucrării: îl constituie normele juridice care stau la baza reglementării contractului de franchising, problemele teoretice și practice ale franchizei, practica judiciară. Scopul studiului este de a identifica problemele reglementării juridice a contractului de franchising, precum și formularea propuneri de îmbunătățire a legislației în domeniul studiat.

Obiectivele generale: constituie analiza aprofundată și complexă a contractului de franchising, care ia naștere prin aplicarea principiului libertății contractuale. Realizarea scopului propus este posibilă cu ajutorul unor obiective, precum: analiza reglementărilor legale în actele normative naționale și internaționale în domeniul contractului de franchising; identificarea conceptului de contract de franchising, dezvoltat în știința dreptului civil prin prisma doctrinei naţionale şi străine; stabilirea conținutului contractului de franchising; determinarea particularităţilor contractului de franchising; examinarea condiţiilor de valabilitate ale contractului de franchising; analiza drepturilor şi obligaţiilor părţilor în contract de franchising; formularea concluziilor și recomandărilor finale.

Metodele аplicаte lа elаborаreа lucrării: constă în consultarea completă și cuprinzătoare a practicii juridice pentru anumite tipuri de contracte de franchising, prin metode științifice generale - analiză, sinteză, abstractizare, comparație, clasificare; istoric comparativ; juridică specială - analogie, interpretare, analiză critică, revizuire a actelor juridice. Rezultatul concret obţinut: în urma elaborării cercetării ştiinţifice în domeniul reglementării juridice a contractului de franchising, а fost întitulată o lucrare unică în аceаstă tematică, cu o examinare aprofundată а tuturor elementelor esenţiale, precum şi un șir de relatări ce pot servi exemplu pentru o viitoare analiză, sau drept sursă în alte domenii, altele decât dreptul.

The purpose of the thesis: it is constituted by the legal norms that are the basis of the regulation of the franchising contract, the theoretical and practical problems of the franchise, the judicial practice. The purpose of the study is to identify the problems of the legal regulation of the franchising contract, as well as to formulate proposals for improving the legislation in the studied field.

General objectives: constitutes the in-depth and complex analysis of the franchising contract, which arises through the application of the principle of contractual freedom. Achieving the proposed goal is possible with the help of some objectives, such as: analysis of legal regulations in national and international normative acts in the field of franchising contracts; the identification of the concept of franchising contract, developed in the science of civil law through the prism of national and foreign doctrine; establishing the content of the franchising contract; determining the particularities of the franchising contract; examination of the validity conditions of the franchising contract; analysis of the rights and obligations of the parties in the franchising contract; formulating conclusions and final recommendations.

Methods applied for the elaboration of the thesis: consists in the complete and comprehensive consultation of the legal practice for certain types of franchising contracts, through general scientific methods - analysis, synthesis, abstraction, comparison, classification; comparative history; special legal - analogy, interpretation, critical analysis, review of legal acts.

The actual result obtained: following the elaboration of the scientific research in the field of the legal regulation of the franchising contract, a unique work on this subject was titled, with an in-depth examination of all the essential elements, as well as a series of reports that can serve as an example for a future analysis, or as source in fields other than law.
